Position Overview – VP, Legal
If you are a strategic, business-oriented legal leader with strong experience in healthcare technology, SaaS contracting, privacy, governance, and enterprise risk, this role is designed for you.
As VP Legal, you will lead RAAPID’s legal function across commercial transactions, healthcare regulatory compliance, data privacy, corporate governance, employment matters, M&A support, litigation management, and enterprise risk.
You will act as a trusted advisor to the CEO and executive leadership team, enabling business growth through pragmatic legal guidance, scalable legal processes, sound judgment, and balanced risk management.
This role is well-suited for a seasoned legal professional with exposure to US healthcare SaaS, HIPAA / HITECH, AI governance, commercial contracting, and corporate legal matters.
Legal Leadership & Enterprise Risk
- Lead legal strategy across commercial, regulatory, governance, privacy, compliance, employment, and corporate matters.
- Advise executive leadership on enterprise risk, strategic initiatives, governance, and board-related matters.
- Develop legal frameworks, governance programs, and risk mitigation strategies aligned with company objectives.
Commercial Transactions & Revenue Enablement
- Structure, draft, negotiate, and execute MSSAs, SOWs, BAAs, DPAs, strategic partnerships, reseller agreements, vendor contracts, and other commercial arrangements.
- Partner with Sales, Product, Finance, Security, and Operations teams to accelerate business growth while appropriately managing risk.
- Build scalable contracting playbooks, approval matrices, fallback clauses, and negotiation frameworks.
- Control legal spend by triaging matters internally and directing external counsel only on specialized issues.
- Negotiate and support complex healthcare SaaS agreements, value-based care arrangements, payer-provider contracts, strategic partnerships, reseller agreements, and technology licensing transactions.
- Knowledge of AI powered documentation/drafting will be an added advantage.
- Structure, draft and execute internal documentation related to various Stock(Equity) Plans, Advisory Agreements, Board Resolutions etc.
Compliance, Privacy & Data Governance
- Lead compliance initiatives related to HIPAA, HITECH, healthcare regulations, privacy, data protection, and AI governance.
- Advise on product compliance, information security obligations, AI risk management, and regulatory developments.
- Support audits, certifications, investigations, and compliance assessments.
Healthcare Regulatory Compliance, Privacy & AI Governance
- Lead legal oversight of US healthcare regulatory compliance, including HIPAA, HITECH, healthcare privacy obligations, data sharing arrangements, and healthcare technology regulations.
- Advise Product, Engineering, Security, and Business teams on AI governance, responsible AI deployment, data governance frameworks, privacy-by-design principles, and emerging AI regulatory requirements.
- Partner with Security and Compliance teams to support HITRUST, SOC 2, NIST, and other regulatory and certification requirements.
- Develop and maintain compliance programs, policies, training frameworks, audit protocols, incident response procedures, corrective action plans, and board-level compliance reporting mechanisms.
- Provide legal support for public sector procurement opportunities, government contracts, healthcare RFPs, and regulatory submissions
Funding Rounds / Mergers & Acquisitions
- Lead legal workstreams for strategic investments (funding rounds), acquisitions, and corporate transactions.
- Draft SPA, Disclosure schedules and other board/stockholders documentation for funding rounds.
- Manage legal due diligence, transaction documentations, approvals, integrations, and post-closing activities.
Employment, Litigation & External Counsel Management
- Advise on executive employment matters, workforce policies, investigations, and employment-related risks.
- Manage disputes, litigation, claims, and external counsel relationships.
Legal Operations & Team Development
- Build and scale legal operations, contract lifecycle management processes, and legal knowledge repositories.
- Establish legal intake, escalation, reporting, and governance mechanisms.
- Mentor and develop legal team members as the organization grows.
- Bachelor of Laws (LL.B.) or equivalent legal degree; advanced legal qualifications preferred.
- Deep expertise in US healthcare regulations, HIPAA/HITECH compliance, healthcare privacy frameworks, healthcare SaaS contracting, and healthcare data governance.
- Experience negotiating enterprise healthcare technology agreements with health systems, payers, providers, life sciences organizations, and strategic partners.
- 12+ years of progressive legal experience, including significant exposure to healthcare technology, SaaS, or regulated industries.
- Strong expertise in commercial contracting, healthcare regulations, privacy, governance, and enterprise risk management.
- Demonstrated experience supporting executive leadership and complex strategic transactions.
- Excellent negotiation, communication, stakeholder management, and business partnering skills.
Preferred Qualifications
- Experience supporting US healthcare organizations, healthcare technology companies, or global SaaS businesses.
- Expertise in HIPAA/HITECH, AI governance, privacy, and information security frameworks.
- Experience leading M&A transactions and post-merger integrations.
- Prior in-house legal leadership experience within a high-growth technology company.
- Familiarity with public sector procurement, international contracting, and cross-border legal matters.
- Experience supporting risk adjustment, population health, value-based care, payer-provider ecosystems, healthcare analytics, clinical data exchange, FHIR/HL7 integrations, or healthcare AI platforms.
- Expertise in AI governance, privacy law, healthcare data protection, NIST frameworks, HITRUST compliance, and public sector healthcare procurement.
- Experience advising executive leadership and boards on healthcare regulatory matters, enterprise risk, governance, and strategic transactions.
